Neoloka Ai Inc. ("Neoloka", "we", "us" or "our") is committed to protecting your privacy. This Privacy Policy explains how we collect, use, disclose and protect personal information about visitors to our Clauselytics website, www.clauselytics.com (the "Website"), and about people who request a contract review, request our checklist or ask to receive our updates through it.
This Privacy Policy does not apply to the privacy practices of third parties, including websites we link to. To understand their practices, please review their own privacy policies.
Who we are
Neoloka Ai Inc. is the organization responsible for personal information collected through the Website. We have appointed a Privacy Officer who is accountable for our compliance with this Privacy Policy and applicable privacy laws. You can reach our Privacy Officer at contact@clauselytics.com.
We handle personal information in accordance with applicable privacy laws, including Canada's Personal Information Protection and Electronic Documents Act (PIPEDA), applicable provincial privacy laws (such as Quebec's Act respecting the protection of personal information in the private sector), and Canada's Anti-Spam Legislation (CASL).
The information we collect
We aim to collect only the personal information we need for the purposes described in this Privacy Policy. Providing personal information is always your choice. If you choose not to provide certain information, we may not be able to respond to your request or send you the material you ask for.

We do not ask for, and ask that you do not send us, sensitive personal information (such as health or financial information) through the Website. We do not accept contracts or other documents through the Website. If you go on to use Clauselytics, documents are shared through a separate, secure channel that we arrange with you.
Information collected automatically
When you visit the Website, our hosting provider automatically records limited technical information in server logs, such as your IP address, browser type, the pages you request and the date and time of your visit. We use this information to operate and secure the Website, for example to detect and prevent spam and abuse.
When you submit a form, we also receive the page you submitted it from and, where available, the website that referred you and any campaign tags in the link you followed. This helps us understand which channels bring people to the Website. See "Cookies and browser storage" below.
How we use your information
We use personal information for the following purposes:
- Responding to requests. To reply to review requests and messages sent by email, and to discuss whether and how Clauselytics can help.
- Providing our checklist. To send you the checklist you have requested.
- Sending updates. To send you product updates and contract insights, but only where you have given your consent. See "Your consent and email communications" below.
- Operating and improving the Website. To keep the Website secure and working properly, to prevent spam and abuse, and to understand which channels and content are useful.
- Meeting legal obligations. To comply with applicable laws and to establish, exercise or defend legal claims.
If we wish to use your personal information for a purpose not described in this Privacy Policy, we will ask for your consent first or, where permitted by law, inform you by updating this Privacy Policy before doing so.
Your consent and email communications
By submitting a form on the Website, you consent to our use of the information you provide for the purpose for which you provided it, such as replying to your review request or sending the checklist you asked for.
We will only send you product updates, insights or other commercial electronic messages if you have given your express consent, for example by ticking "Send me occasional product updates and contract insights" on one of our forms. Every such message will identify us and include a simple way to unsubscribe. You can also withdraw your consent at any time by writing to contact@clauselytics.com.
You may withdraw your consent to our use of your personal information at any time, subject to legal or contractual restrictions and reasonable notice. Withdrawing consent may mean we can no longer respond to a request or provide certain material.
Cookies and browser storage
Cookies are small files stored in your browser. The Website is designed to work without tracking cookies:
- Visit details. During your visit, your browser temporarily stores the page you arrived on, the referring website and any campaign tags in the link you followed, so they can be included if you submit a form. This is cleared when you close the browser tab and is not used to track you across other websites.
- No analytics or advertising cookies. We do not use analytics, advertising or cross-site tracking cookies.
If we introduce analytics in future, we will update this Privacy Policy and ask for your consent before setting analytics cookies.
How we share your information
We do not sell, rent or trade your personal information, and we do not share it with others for their own marketing.
We share personal information only with service providers that help us operate the Website and our business, and only to the extent necessary for them to do so. These include providers of:
| Service | Purpose | Information involved |
|---|---|---|
| Website hosting | Running and securing the Website | Form submissions in transit, server logs |
| Delivering form submissions to us, sending you the material you request and corresponding with you | Contact details and the content of your submission or email |
Our service providers are required to protect your personal information and to use it only to provide services to us. A current list of the providers we use is available on request from our Privacy Officer.
Important exceptions. We may disclose personal information without your consent where permitted or required by law, for example to comply with a court order, subpoena or other legal process; to respond to a lawful request from a government or law enforcement authority; to investigate or prevent fraud, security incidents or other unlawful activity; or to protect our rights or property or those of others.
Business transactions. We may disclose personal information in connection with a proposed or completed corporate reorganization, merger, financing or sale of all or part of our business, including during due diligence, provided that the information continues to be used only for the purposes permitted by this Privacy Policy.
Where your information is stored
We and our service providers may store and process personal information in Canada and in other countries where those providers operate. When your information is held outside your home jurisdiction, it is subject to the laws of that jurisdiction and may be accessible to its courts, law enforcement and national security authorities.
Automated decision-making
We do not use personal information collected through the Website to make decisions about you based solely on automated processing.
How long we keep your information
We keep personal information only as long as it is reasonably needed for the purposes for which it was collected, or as required or permitted by law:
- Review requests and checklist requests: up to 24 months after our last contact with you, unless we enter into a business relationship, in which case we keep it for the duration of that relationship and as required afterwards for legal and accounting purposes.
- Updates: until you unsubscribe or withdraw your consent, after which we keep only a record that you have unsubscribed, so we respect your choice.
- Server logs: for the limited period our hosting provider retains them for security and operational purposes.
When personal information is no longer needed, we securely delete or anonymize it.
How we protect your information
We use reasonable administrative, technical and physical safeguards to protect personal information against loss, theft and unauthorized access, use, disclosure, copying or modification. These include encrypted (HTTPS) connections to the Website and limiting access to personal information to those who need it for the purposes described in this Privacy Policy.
No method of transmission or storage is completely secure. If we become aware of a privacy breach involving your personal information that creates a real risk of significant harm, we will notify you and the relevant authorities as required by law.
Your rights and choices
Subject to applicable law, you may:
- ask whether we hold personal information about you and request access to it;
- ask us to correct information that is inaccurate or incomplete;
- withdraw your consent, including to receiving emails from us;
- ask us to delete your personal information, subject to legal or contractual requirements; and
- ask questions about how we handle your personal information.
To make a request, contact our Privacy Officer at contact@clauselytics.com. We may need to verify your identity before responding. We will respond within the time required by applicable law. In limited circumstances, such as where information also relates to another person, we may not be able to provide all of the information requested; if so, we will explain why.
If you are not satisfied with our response, you may contact the Office of the Privacy Commissioner of Canada or the privacy regulator in your jurisdiction.
Children
The Website is intended for business professionals and is not directed at individuals under 18. We do not knowingly collect personal information from anyone under 18. If you believe we may have received such information, please contact us at contact@clauselytics.com and we will delete it.
Links to other websites
The Website may contain links to websites that we do not own or control. Their privacy practices are governed by their own policies, and we are not responsible for them.
Changes to this Privacy Policy
We may update this Privacy Policy from time to time to reflect changes in our practices or in applicable law. When we do, we will post the updated version on this page and change the "Last updated" date above. If we make a significant change, we will provide a more prominent notice on the Website. Unless stated otherwise, the current Privacy Policy applies to all personal information we hold about you.
